Thank you for choosing Megaficus Joint Stock Company (“Megaficus”, “we”, “our”, or “us”) as your trusted business development partner on the Amazon platform. These Terms of Service (“Terms”) govern the relationship between Megaficus and the Client (“you”, “your”, or “Client”) in the course of receiving and utilizing our services. By signing a service agreement or using our services, you confirm that you have read, understood, and agreed to the Terms set forth below.

Scope of Application

These Terms apply to all services provided by Megaficus unless otherwise agreed in writing. Our services include but are not limited to: strategic consulting, Amazon store setup and management, content creation and optimization, pay-per-click (PPC) advertising, keyword research, A+ content design, brand development, analytics reporting, and comprehensive support for cross-border e-commerce expansion.

Contracts and Commitments

  • Each service engagement is governed by a separate, written Service Agreement that specifies key terms, including the scope of work, service timeline, payment terms, performance expectations, and relevant KPIs if applicable.
  • Megaficus commits to delivering services professionally, in accordance with industry standards, and within the mutually agreed timelines. However, unless explicitly guaranteed in writing, Megaficus does not make warranties or representations regarding specific commercial outcomes such as revenue growth, keyword rankings, or conversion rates, as these may be affected by factors outside of our control including platform policy changes, third-party behavior, and market conditions.

Responsibilities and Limitations

  • Megaficus shall maintain the confidentiality of client data and information, uphold service quality, and keep the client reasonably informed of material updates related to the services.
  • We are not liable for indirect, incidental, or consequential damages, including but not limited to losses arising from Amazon algorithm updates, platform suspensions due to client-side violations, or delays caused by force majeure events.
  • To the fullest extent permitted by applicable law, the total aggregate liability of Megaficus for any claim related to the services shall not exceed the total amount paid by the client under the applicable service agreement in the 90 days preceding the event giving rise to the claim.

Client Responsibilities

  • The Client agrees to provide timely, accurate, and complete information necessary for service execution. Any delays resulting from incomplete or incorrect information shall not be the responsibility of Megaficus.
  • The Client is expected to cooperate in good faith, including providing prompt approvals for deliverables, participating in evaluation sessions, and performing agreed responsibilities in a timely manner.
  • The Client shall make all payments as outlined in the service agreement within the agreed-upon timelines. Late payments may result in service delays or suspension as outlined in the next Section.

Service Suspension and Termination

  • Either party may terminate the service agreement in accordance with the termination clause specified therein. Upon termination, the Client remains responsible for any fees incurred for services already rendered.
  • Megaficus reserves the right to suspend or terminate services immediately, with notice, in cases of: (a) breach of confidentiality or ethical obligations by the Client, (b) non-payment beyond the allowable grace period, or (c) any misuse of our services that could damage our reputation, violate laws, or contravene platform policies.

Data Privacy and Confidentiality

Megaficus is committed to protecting client data and personal information. We do not disclose or use client data outside the scope of the contracted services without prior written consent, unless required by law or court order. Amendments to Terms

Megaficus reserves the right to modify or update these Terms at any time for legal, operational, or regulatory reasons. Clients will be notified of significant changes via email or through our Website. Any updates will only apply to future service engagements or renewal phases of existing projects unless otherwise agreed.

Governing Law and Dispute Resolution

These Terms and all related service agreements shall be governed by the laws of the Socialist Republic of Vietnam. In the event of any dispute that cannot be resolved through good-faith negotiation, the matter shall be submitted to the competent authorities at Megaficus’s registered business location in Hanoi for resolution in accordance with Vietnamese law.
